1. Introduction - These Terms & Conditions (“Terms”)  govern all services offered by  D-S-Design, operated by Daniel Sherlock. By using my services or accessing www.D-S-Design.com, you agree to abide by the Terms laid out below.

2. Definitions - "Designer” refers to Daniel Sherlock, trading as D-S-Design.“Client” refers to the individual or organisation receiving services.“Project” refers to any design, web, branding, or marketing work undertaken by D-S-Design..

3. Service Overview - D-S-Design provides services including (but not limited to) branding, graphic design, website design, content creation, social media management, and digital marketing. The specifics of each project will be detailed in a signed service agreement.

4. Acceptance of Terms - Engaging with D-S-Design or visiting the website constitutes acceptance of these Terms. If you do not accept them, please refrain from using these services.

5. Cancellation Policy - For project-based work, a 50% non-refundable deposit is required to secure your slot and begin the project. If the client cancels, all work completed to date will be invoiced. Cancellation fees will vary depending on the stage of the project, and additional charges may apply depending on the timing. If the client becomes unresponsive for more than 3 working days, the project may be paused and subject to a reactivation fee and adjusted deadlines. No refunds are issued under any circumstances, including for recurring maintenance or social media contracts. Refunds for third-party services—such as Webflow hosting, Elfsight, IONOS, or others—must be requested directly from the providers. D-S-Design is not responsible for managing or processing third-party service refunds. Please refer to the Payments & Cancellation Policy for a full explanation of cancellation stages and associated charges.

8. Payment Options - D-S-Design offers multiple payment options for your convenience.
These include:
PayPal: You can make payments securely and conveniently using PayPal.
Bank Transfer: I accept payments via bank transfer to my account.
Square Invoicing: My invoicing system is powered by Square, allowing for easy and secure payment processing.

Please note that I do not accept cash or checks. Projects are split into staged payments as per the signed service contract. The remaining balance must be paid before final deliverables are released. Late payments may incur a 10% fee. Please refer to my Privacy Policy  for further information regarding the handling of payment information.

9. Client Responsibilities - Clients agree to:
Respond to communications within 3 working days
Provide timely content and feedback
Supply access credentials when needed
Honour agreed payment schedules
Communicate delays or changes promptly
Failure to meet these expectations may delay delivery or result in additional charges.

As a client, you are responsible for:
- Providing accurate and complete information & content required for your project.
- Providing timely feedback and responses to my inquiries and design concepts.
- Adhering to my Cancellation Policy and payment schedule.
- Ensuring that all materials provided to me do not infringe upon any copyrights, trademarks, or other intellectual property rights.

10. Project Completion - Projects are deemed complete once the agreed scope has been delivered. Additional pages or features outside the original scope will incur extra charges (£150 per page depending on complexity). A final confirmation email marks the completion unless otherwise agreed.

11. Intellectual Property - D-S-Design retains ownership of all work until full payment is made.
After payment, rights are transferred to the Client unless otherwise agreed.
All content, designs, and materials created remain the intellectual property of D-S-Design until final payment is received.

12. Feedback, Referrals and Revisions - Revisions must be submitted within 3 days of receiving the design draft.
Projects include a set number of revisions, as outlined in individual contracts.
Any additional or late revisions may incur a fee.I value client feedback and will make reasonable efforts to accommodate revisions and adjustments during the design process.

However, excessive revisions beyond the scope of the project may incur additional charges.Referring D-S-Design's design services is highly valued and greatly appreciated. Your recommendations help me continue to deliver exceptional graphic and web design solutions.

13. Right to Showcase Work - D-S-Design reserves the right to showcase completed work in its portfolio, website, social media, and promotional materials. A footer credit (“Designed by D-S-Design”) will remain unless removed for an additional £500. Clients agree to this unless stated otherwise in writing before work begins.

14. Consultation Meetings - Meetings will be scheduled where required. Clients are expected to attend meetings on time and provide adequate notice if rescheduling. Delays may affect project delivery and incur additional consultation fees if outside agreed time.

15. Dispute Resolution - In case of a dispute, both parties agree to communicate in writing and attempt to resolve the matter. If unresolved, it may be escalated to mediation or follow standard UK small business legal pathways.

16. Limitation of Liability - D-S-Design is not liable for any loss, damage, or delays resulting from third-party service failure or misuse of content. All services are provided in good faith and to a professional standard. D-S-Design is not responsible for content hosted on third-party platforms.

17. Termination of Services - D-S-Design may terminate services due to non-payment, breach of terms, abusive behaviour, or unresponsiveness exceeding 3 working days. In all cases, no refunds will be given, and remaining work will be invoiced.

1. Introduction
To initiate any project with D-S-Design, a 50% non-refundable deposit is required to begin work. Maintenance contracts and social media contracts are also non-refundable. This payment secures your project slot and enables the design process to commence. No work will be delivered unless paid for in advance.

2. Cancellation Procedure
If you decide to cancel your project with D-S-Design, please follow the steps outlined in this cancellation policy to ensure a smooth process:

2.1 Notify Me in Writing
I require that all cancellations be submitted in writing. You can send your cancellation notice via email to Contact@D-S-Design.com. In your cancellation notice, please include your name, contact information, project details, and the reason for cancellation.

2.2 Cancellation Timeline
Upon receiving your written cancellation notice, I will acknowledge its receipt and confirm the cancellation. Please be aware that the project's cancellation will only be considered official from the date I receive your written notice.. Projects will be paused immediately upon receipt of written confirmation.

3. Cancellation Charges
3.1 Deposit Process - A 50% non-refundable deposit is due before any project work begins.

3.2 Cancellation Fees - If a project is cancelled after the deposit has been paid, additional charges will be assessed depending on the stage of the project.

3.2.1 Early Cancellation - (Within 14 Days of Project Start) If you cancel your project within 14 days of its initiation, you will be liable for the 50% non-refundable deposit, along with an additional 10% of the total project cost. An extra 5% will be charged to cover admin and setup expenses.

3.2.2 Mid-Project Cancellation - (Between 15 and 45 Days of Project Start) If you decide to cancel your project after the initial 14 days but within 45 days of its start, you will be responsible for the non-refundable deposit and 50% of the total project cost. An additional 10% will be added to account for work already completed.

3.2.3 Late Cancellation (Beyond 45 Days of Project Start) Cancellations made after 45 days from the project's initiation will result in you being held accountable for the non-refundable deposit and the full project cost. An additional 20% may be charged depending on the complexity and extent of work completed. Cancellations made after 45 days from the project's initiation will result in you being held accountable for the non-refundable deposit and the full project cost.The full project balance may be due depending on the stage of completion.

3.3 Incomplete Projects - Projects paused or left incomplete due to client unresponsiveness (more than 3 working days) may be subject to a reactivation fee. A new completion date will be agreed based on availability.

3.4 Cancellation of Maintenance Contracts - Maintenance contracts are non-refundable once initiated. Cancellation will stop future renewals but does not provide a refund for unused time.

3.5 Cancellation of Webflow Hosting Subscriptions - Clients are responsible for managing their own Webflow or third-party hosting subscriptions. D-S-Design is not responsible for hosting fees or cancellations.

3.6 Responsibility for Third-Party Service Fees - Fees related to services such as Elfsight, IONOS, domains, email services, and other integrations must be paid by the client and are non-refundable through D-S-Design.

4. Project Termination by D-S-Design
D-S-Design reserves the right to terminate any project for breach of contract, abusive behaviour, non-payment, or unresponsiveness. In such cases, no refunds will be issued.

5. Right to Showcase Work
Unless otherwise agreed in writing, D-S-Design retains the right to showcase completed work across its portfolio, social media, and marketing materials. Removal of the “Designed by D-S-Design” footer incurs a £500 fee.

By entering into a project with D-S-Design, you acknowledge that our terms and conditions, cookies policy, and privacy policy apply. 7. Invoicing and Payment Methods
All invoices are managed via Square.
Payment options include:
PayPal
Bank Transfer
Square Online Invoicing

Cash and cheque are not accepted. Final deliverables are not sent until payment is received.

8. Late Payment Fees
If payment for services rendered is not received by the due date specified on the invoice, a late payment fee may be applied. Late payment fees will be calculated as 10% of the outstanding invoice amount for each month of the Billing Cycle that the payment remains overdue. These fees are intended to cover administrative costs and the inconvenience caused by late payments.

9. Sickness and Absence
In the event of sickness or unexpected absence on my part, I will make every effort to communicate this with you as soon as possible. Projects may experience delays as a result, but I will work to minimise any disruptions and will keep you informed of any changes to the project timeline.I reserve the right to delay any project by up to 6 weeks in the event of sickness, absence, or other unforeseen circumstances, and by agreeing to these terms, the client accepts this possibility.

Additionally, as I manage two jobs, project timelines may be affected during busy periods. I will strive to provide realistic timelines and keep clients updated on any adjustments.

10. Resumption of Projects
Paused or delayed projects may require a reactivation fee and new timeline depending on availability.

11. Amendments to the Cancellation Policy
This policy may be updated without prior notice. Clients will be notified of major changes where appropriate.
