1. Introduction - These Terms and Conditions (“Terms”) govern all services offered by D-S-Design, operated by Daniel Sherlock. By engaging in services or accessing www.d-s-design.com, you agree to abide by the Terms set out below.

2. Definitions - “Designer” refers to Daniel Sherlock, trading as D-S-Design. “Client” refers to the individual or organisation receiving services. “Project” means any design, web, branding, print, or marketing work undertaken by D-S-Design. “Contract” refers to the written or digital agreement signed or accepted by the client. For clarity: D-S-Design Studio is the trading name of D-S-Design. Both refer to the same business owned and operated by Daniel Sherlock.

3. Service Overview - D-S-Design provides services including but not limited to web design, graphic design, branding, content creation, social media management, and digital marketing. The specific deliverables and payment terms for each project will be detailed in a signed service contract or formal proposal.

4. Acceptance of Terms - Engaging with D-S-Design, commissioning work, approving a quote, signing a contract, or making payment constitutes full acceptance of these Terms. If you do not agree, please refrain from using these services.

5. Deposits, Payments and Cancellations - A 50% non-refundable deposit is required for all website and branding projects before work commences. Full payment is required for social media, maintenance, print, and one-off services before work begins unless otherwise agreed. No work will be undertaken until this payment has cleared. All cancellation procedures, fees, and conditions are detailed within the Payments and Cancellation Policy available at www.d-s-design.com/policies/payments-cancellations. If a client cancels a project or becomes unresponsive for three (3) working days or more, the project may be paused and subject to a reactivation fee. No refunds are issued under any circumstances, including for recurring maintenance, hosting, or social media contracts. Refunds for third-party services such as Webflow, Elfsight, IONOS, or domain providers must be requested directly from those providers. D-S-Design is not responsible for managing or processing any external service refunds.

6. Cookies Policy - D-S-Design uses cookies to improve website functionality, monitor analytics, and enhance the user experience. By using the site, you consent to cookies being stored on your device. The full Cookies Policy is available at www.d-s-design.com/policies/cookies

7. Privacy Policy - Personal information shared with D-S-Design is kept strictly confidential and used solely for communication, service delivery, and account management. For full details on how data is handled, refer to the Privacy Policy at www.d-s-design.com/policies/privacy

8. Payment Options - Payments are handled securely via Square invoicing, bank transfer, or PayPal. Cash or cheque payments are not accepted. Projects are billed in staged payments as outlined in the service contract. The final balance must be cleared before handover, launch, transfer, or delivery of any files. If payment is overdue, a 10% late fee will be added after seven (7) days, with an additional 10% applied monthly thereafter.

9. Client Responsibilities - Clients agree to respond to emails or messages within three (3) working days, provide accurate and complete content, text, and images in a timely manner, supply relevant access credentials when required, approve designs and provide clear written feedback within agreed timeframes, and honour all payment schedules and deadlines. Failure to meet these responsibilities may result in project delays, additional charges, or paused work. All materials supplied must be owned or licensed by the client. D-S-Design accepts no responsibility for copyright or intellectual property breaches caused by client-supplied content.

10. Project Completion - Projects are considered complete once all deliverables listed in the signed agreement have been provided. Any additional pages, sections, or features requested beyond the agreed scope will be quoted separately. A final confirmation email or invoice marks official completion. After sign-off, further edits or changes will be billed as new work.

11. Intellectual Property - D-S-Design retains ownership of all work until payment is received in full. Once paid, full rights are transferred to the client unless otherwise stated in writing. D-S-Design reserves the right to retain archived copies and showcase work for portfolio and promotional purposes. Any unauthorised use or modification of work without full payment is prohibited.

Websites built by D-S-Design may be hosted within the Designer’s Webflow Workspace unless otherwise agreed in writing. While hosted within this workspace, D-S-Design retains administrative control of the project environment.

No third-party designers, developers, or agencies may be granted access, make changes, replicate, transfer, or interfere with the website without prior written consent from D-S-Design.

If the Client wishes to transfer the website to their own Webflow account or engage a third party, this must be formally requested and may be subject to a transfer fee. Once transferred, D-S-Design accepts no responsibility for the website’s structure, performance, or ongoing functionality.

Any unauthorised third-party involvement may result in immediate suspension or termination of services.

12. Feedback, Revisions and Referrals - Revision allowances are defined within each project’s contract. Revisions must be submitted within three (3) days of receiving a draft. Additional or late revisions beyond the agreed scope will incur extra charges. Constructive feedback is encouraged, and D-S-Design will make reasonable efforts to implement agreed changes within scope. Clients are invited to leave reviews on Google or Trustpilot upon project completion.

13. Right to Showcase Work - D-S-Design reserves the right to display completed work within its portfolio, across social media, and in promotional materials. A small footer credit (“Designed by D-S-Design”) may appear on web design projects. Clients may request removal of this credit for a one-time fee of £500.

14. Consultation Meetings - Meetings are available by appointment only. Clients are expected to attend on time and provide at least 24 hours’ notice if rescheduling. Missed or repeated rescheduling may delay the project and may incur additional consultation fees.

15. Dispute Resolution - In the event of a disagreement, both parties agree to attempt resolution in writing first. If unresolved, disputes will proceed under UK law via mediation or appropriate legal channels.

16. Limitation of Liability - D-S-Design will not be held liable for delays, damages, loss of income, or data breaches caused by third-party services, client error, or failure to follow recommendations. All services are delivered in good faith and to a professional standard, but no guarantees are made regarding specific outcomes such as SEO rankings or sales.

17. Termination of Services - D-S-Design reserves the right to terminate services immediately in cases of non-payment, breach of terms, abusive behaviour, or extended unresponsiveness (three working days or more). In such cases, all completed work will be invoiced and no refunds will be issued.

18. Insurance - D-S-Design is insured through Hiscox Business Insurance, providing professional indemnity and public liability cover.

19. Updates to Terms - These Terms and Conditions may be updated periodically without prior notice. The latest version will always be available at www.d-s-design.com/policies.
